Terms of Use

These Terms of Use ("Terms") govern your access to and use of KeyProof — the web application at keyproof.app, the KeyProof iOS app, all tenant- and guest-facing permanent links, and any related services (collectively, the "Service"). The Service is provided by Cedarline Technologies LLC, a Florida limited liability company ("Cedarline", "we", "us", "our"). By creating an account, subscribing, or otherwise using the Service, you agree to these Terms.

The Service is offered as two products from one codebase: Tenancies for long-term rentals (a four-layer PM/tenant response record) and Bookings for short-term rentals such as Airbnb, VRBO, and direct-booking properties (an immutable property baseline pinned to each booking, a 24-hour guest flag window, and a checkout evidence pack). A Property Manager organization may enable one product or both; every property is tagged as one type.

1. Who these Terms apply to

The Service has three user categories, each governed by these Terms:

If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you individually and the organization.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use the Service. The Service is not directed at children under 13, and we do not knowingly collect data from them.

3. Account and security

Sign-in happens via emailed magic link (web) or Sign in with Apple (iOS). You are responsible for the security of the email address, Apple ID, or device you use to access your KeyProof account. Notify us promptly at support@keyproof.app if you believe your account has been accessed without authorization.

4. Subscriptions and billing (Property Managers)

4.1 Plans and trial

KeyProof offers subscription plans priced by unit count. New PM organizations begin with a 30-day free trial. At the end of the trial, you must select a paid plan to continue using the Service; otherwise, access to the paid features is paused until you subscribe.

4.2 Payment

Subscriptions are billed monthly in advance through Stripe, Inc., our payment processor. By providing a payment method, you authorize Cedarline (through Stripe) to charge that payment method for the plan you selected, plus any applicable taxes, on each renewal date until you cancel.

4.3 Automatic renewal

Subscriptions renew automatically at the end of each billing period at the then-current price. You may cancel at any time from your KeyProof billing page ("Manage in Stripe" or "Close org") or by contacting support@keyproof.app.

4.4 Cancellation

Cancellation stops future charges. Your subscription remains active through the end of the current paid period. After that, your account is placed in a read-only state; existing tenancies remain viewable for 90 days before being permanently deleted, giving you time to export anything you need.

4.5 Refunds

Charges are non-refundable except where required by law. If a charge is made in error, contact support@keyproof.app within 30 days and we will review the request in good faith.

4.6 Failed payment and suspension

If a payment fails, Stripe retries automatically for up to approximately three weeks. If all retries fail, your organization will be suspended: teammates cannot create new tenancies or capture new layers, but existing tenancies remain visible. Suspension ends the moment a successful payment is received.

4.7 Price changes

We may change subscription prices with at least 30 days' notice sent to your account email. Continued use after the effective date constitutes acceptance of the new price. If you disagree, you may cancel before the change takes effect.

4.8 Taxes

Listed prices are exclusive of sales, use, VAT, and similar taxes. Where applicable, taxes are added at checkout and remitted by us or by Stripe on our behalf.

5. Free (tenant and guest) use

Tenants and guests are never charged for KeyProof. Opening a permanent email or check-in link, reviewing the record, and responding — accept-or-dispute on a tenancy layer, or raising flags on a booking baseline — are all free.

5.1 Tenant response window

Tenants review a Tenancy move-in or move-out layer through the permanent link and respond per item. The default response window on a Tenancy layer is measured in days, is set by the PM, and each item accepts a discrete accept-or-dispute verdict. The tenant's per-item response is documented as the tenant's electronic acknowledgement under the US ESIGN Act.

5.2 Guest response window

Guests review a Booking's pinned baseline through the permanent check-in link and may raise flags on any item that isn't as documented. The default response window on a Booking is 24 hours from check-in. If the window elapses without a flag, the elapsed window itself is recorded — the fact that the Guest had access to the pinned baseline and raised nothing is documented as affirmative evidence, and is treated as the Guest's electronic acknowledgement of the pinned baseline under the US ESIGN Act. Flags raised inside the window are timestamped and stored on the booking record.

We may suspend or terminate accounts that violate these rules, with or without prior notice depending on the severity.

7. Your content and ownership

Operator content — tenancies, move-in and move-out layers, property baselines and every immutable baseline version, per-item photos, video, voice notes, condition and damage flags, checkout damage captures, PDFs, and evidence packs generated by the Operator ("Operator Content") — remains yours. Nothing in these Terms transfers ownership of Operator Content to Cedarline.

Contributed content — tenant per-item accept-or-dispute responses, tenant dispute notes, guest flag submissions and their attached photos or video, and the timestamped record of a guest's elapsed 24-hour window without a flag ("Contributed Content") — remains attributable to the Tenant or Guest who contributed it, and is stored on the tenancy or booking record as evidence of the response. Together, Operator Content and Contributed Content are "Your Content".

You grant Cedarline a limited, worldwide, non-exclusive, royalty-free license to store, process, transmit, and display Your Content solely to operate the Service, provide it to you and to parties you share it with (including, in a PM organization, your teammates; the tenants invited to respond to a tenancy; and the guests invited to check into a booking), and to comply with legal obligations. This license ends when you or we delete the content, subject to routine backup retention and legal-hold obligations.

You represent and warrant that you have all rights necessary to upload Your Content and to grant the license above, and that Your Content does not violate any law or third-party right.

8. The record and signature disclaimer

KeyProof generates timestamped, tamper-evident stay records. For Tenancies, the electronic signature is the tenant's per-item accept-or-dispute response to each layer. For Bookings, the electronic signature is (a) the guest's flag submissions during the 24-hour check-in window, and (b) the timestamped, documented silence of a guest whose window elapses without a flag — both of which are recorded as the guest's acknowledgement of the baseline pinned at check-in. Electronic signatures collected through the Service, whether by response or by documented silence, are intended to satisfy the requirements of the US ESIGN Act. However:

9. Third-party services

The Service relies on third-party providers, including Supabase (US) for data and auth, Cloudflare (US) for hosting, Stripe (US) for payments, Photon (address autocomplete), and Apple (Sign in with Apple). Your use of the Service is also subject to those providers' terms and privacy policies. We are not responsible for those providers' acts or omissions.

10. Availability, changes, and support

We aim for high availability but do not guarantee uninterrupted or error-free service. We may add, modify, or remove features at any time. Material reductions to core paid features will be announced at least 30 days in advance. Support is provided by email at support@keyproof.app; typical response time is one business day.

11. Termination by us

We may suspend or terminate your access to the Service, with or without notice, if you materially breach these Terms, if we are required by law to do so, or if we discontinue the Service. On termination for cause, no refunds are owed. On termination for our own convenience (e.g. product sunset), we will refund any prepaid, unused portion of your subscription.

12. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE FROM ATTACK, OR THAT DEFECTS WILL BE CORRECTED WITHIN ANY PARTICULAR TIME.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CEDARLINE TECHNOLOGIES LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

14. Indemnification

You agree to defend, indemnify, and hold harmless Cedarline Technologies LLC from any claim, demand, or liability, including reasonable attorneys' fees, arising out of (a) Your Content, (b) your use of the Service in violation of these Terms or any applicable law, or (c) your violation of any third-party right, including any privacy right of a person you record through the Service.

15. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws principles. The exclusive venue for any dispute arising from these Terms is the state and federal courts located in Broward County, Florida, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking equitable relief in any competent jurisdiction.

16. Changes to these Terms

We may update these Terms. Material changes will bump the "Last updated" date and, for PM Customers, will be sent to the account email at least 15 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

17. Entire agreement; severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cedarline regarding the Service and supersede any prior agreements. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force.
